1. General Overview
These Terms and Conditions constitute a legally binding agreement between you ("the Client") and Exint Buildcare and Solutions ("the Company," "we," "us"). By engaging our services—including but not limited to construction, renovation, interior design, painting, waterproofing, and facility management—you acknowledge that you have read, understood, and agreed to be bound by these policies. We operate with a commitment to high-end delivery standards and require mutual cooperation to achieve project success.
2. Engagement, Scope, and Proposals
All projects commence with a formal proposal detailing the scope of work, material specifications, timelines, and financial frameworks. Any deviations from the agreed-upon scope must be documented in a written Change Order signed by both parties. Verbal modifications are not recognized unless confirmed in writing. Our Annual Maintenance Contracts (AMC) are subject to specific service level agreements (SLAs) tailored to your asset's unique requirements.
3. Payment Terms and Financial Policy
Payments must be made strictly according to the milestone schedule outlined in your contract. Failure to meet payment deadlines may result in the immediate suspension of site activities, procurement delays, or the revocation of priority technical resource allocation. All listed prices are exclusive of applicable taxes unless stated otherwise. Interest may be applied to overdue balances at the prevailing legal rate.
4. Project Management and Site Safety
Exint Buildcare and Solutions prioritizes uncompromised site safety and operational efficiency. The Client is responsible for ensuring clear site access, securing necessary building permits, and providing a safe, hazard-free environment for our crews. We reserve the right to halt work if site conditions pose a risk to our team, the public, or the integrity of the project. Any operational downtime resulting from client-side delays or restricted access will be billed accordingly.
5. Materials, Warranties, and Craftsmanship
We source premium, sustainability-certified materials. However, slight variations in natural materials (such as stone or wood) are inherent and do not constitute a defect. Warranties provided for our structural, waterproofing, and architectural finishing works are valid only if maintenance is performed in accordance with our post-completion guidelines. Misuse, unauthorized third-party modifications, or neglect voids all company-provided warranties.
6. Cancellation and Termination
Either party may terminate a project agreement with formal written notice as specified in your contract. In the event of client-initiated termination, the Client remains responsible for all work completed to date, materials procured, and non-refundable deposits. Exint reserves the right to terminate an agreement immediately if the Client violates these terms, displays unprofessional conduct, or fails to uphold financial commitments.
7. Limitation of Liability and Indemnity
To the maximum extent permitted by law, Exint Buildcare and Solutions shall not be liable for any consequential, incidental, or indirect damages—including lost profits or business interruptions—resulting from unforeseen site conditions, latent structural defects not visible during initial diagnostic testing, or third-party service failures. The Client agrees to indemnify and hold Exint harmless against any claims, losses, or expenses resulting from their breach of this agreement.
8. Dispute Resolution and Governing Law
These terms are governed by the laws applicable in your jurisdiction. In the event of a dispute, both parties agree to attempt good-faith negotiations for a period of 30 days. If the matter remains unresolved, it shall be submitted to binding arbitration in accordance with local regulations, and the prevailing party shall be entitled to recover reasonable attorney fees and costs.
